This Agreement is made and entered into as of the date the order is placed, by and between Testa-Seat, Inc. (hereinafter referred to as “Provider”) and the Individual Making This Order (hereinafter referred to as “Recipient”).

Purpose
The purpose of this Agreement is to outline the terms and conditions under which Testa-Seat, Inc. will provide the Recipient with a 30-Day Trial Kit of seats for evaluation and demonstration purposes.

Terms and Conditions
Trial Period

• Testa-Seat, Inc. will supply the Trial Kit at no cost for a period of 30 days, starting from the date of delivery.
• At the end of the Evaluation Period, the Recipient agrees to return the Trial Kit to the Provider in its original box and condition, normal wear and tear excepted.

Warranty Coverage for Seat Breakage

• In the event the seat breaks during normal use, Testa-Seat, Inc. will, at its discretion, repair the seat or provide a replacement in accordance with the warranty terms.
• This warranty applies only to defects or damages occurring under regular usage conditions and excludes damages caused by misuse, negligence, or unauthorized modifications.

After the Trial Period

• If the Trial Kit is not returned within 30 days after the end of the Evaluation Period, the Recipient may be billed for the full retail value of the Trial Kit.
• Testa-Seat, Inc. will cover the shipping costs for the return.
• An extension of the Evaluation Period can be discussed at any time during the trial period.

Potential Retention of Trial Kit

• If the Recipient and their clients benefit from the Trial Kit and subsequently order seats, Testa-Seat, Inc. may allow the Recipient to retain the Trial Kit at no additional cost.

Proper Use
The Recipient agrees to:

• Use the Trial Kit appropriately for its intended evaluation and demonstration purposes.
• Ensure all personnel using the Trial Kit are adequately trained.

Maintenance and Care
The Recipient agrees to:

• Maintain the Trial Kit in good condition.
• Protect the Trial Kit from damage.
• Notify Testa-Seat, Inc. immediately of any damage or malfunction.

The Recipient further agrees to ensure that all relevant personnel follow the "User Guide" provided by the Provider, accessible online.

Liability and Indemnity

• The Recipient uses the Trial Kit at their own risk.
• Testa-Seat, Inc. is not liable for any damage, injury, or loss resulting from the use of the Trial Kit.
• The Recipient agrees to indemnify and hold Testa-Seat, Inc. harmless from claims arising from the use or misuse of the Trial Kit.

Product Usage Outside the Clinic
If the Recipient provides the product outside their clinical setting:

• Explanation of Use: The Recipient assumes full responsibility for explaining the correct use of the product, including setup, adjustment, and maintenance.
• Reference to User Manual: The Recipient must ensure all end-users are referred to the user manual before use.
• Connection with Provider: If there are uncertainties, the Recipient must facilitate communication between end-users and Testa-Seat, Inc. for clarification.
• Limitation of Liability: Testa-Seat, Inc. is not liable for damages, injuries, or losses arising from the product's use outside clinical settings. The Recipient indemnifies Testa-Seat, Inc. from related claims or expenses.
• Acknowledgment of Risks: The Recipient acknowledges and assumes all risks of using the product outside a controlled setting and agrees to communicate these risks to end-users.
• Compliance with Instructions: The Recipient agrees to ensure users comply with the user manual and any additional instructions provided by Testa-Seat, Inc. Failure to do so may void the warranty.

Termination

• Either party may terminate this Agreement with 15 days' written notice.
• Upon termination, the Recipient must return the Trial Kit to the Provider immediately.

Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior discussions, agreements, and understandings of any kind.

Acknowledgment

• The Agreement takes effect upon the order placement.
• The 30-day trial period begins from the date of delivery of the Trial Kit.

Trial Kit Availability
The shipment of the Trial Kit is subject to the availability of an appropriate demo kit. Testa-Seat, Inc. will place the Recipient on a waiting list and notify them when a demo kit becomes available. Shipment arrangements will be made at that time, and the trial period will commence upon delivery of the kit, as outlined in the "Trial Period" section.

No Guaranteed Shipment Date
While Testa-Seat, Inc. will make reasonable efforts to provide the Trial Kit in a timely manner, no specific shipment date is guaranteed. Availability is determined at the sole discretion of Testa-Seat, Inc., and orders will be fulfilled in the order they were received.
